Terms and conditions for advisors

This document contains the Terms and Conditions of the services that the advisors (hereinafter "the advisor" or "the advisors") can provide through the INNPACTIA platform owned by INNPACTIA S.AS., available on the website www.innpactia.com (hereinafter, "the INNPACTIA platform"). These terms and conditions will remain in force as long as they remain published on the website www.innpactia.com and will govern the offer of services available at the time of publication.

 

1. Acceptance of the Terms and Conditions

 

By registering as  advisor in the option "I am an advisor who wants to offer his services" and browsing the INNPACTIA platform, it is understood that the advisor fully and unreservedly accepts the content of the Terms and General conditions of use and/or contracting of the services of the page www.innpactia.com, that of these Terms and Conditions of provision of advisory services through the page www.innpactia.com and the documents to which they They are sent through different links arranged throughout its clauses and complement it, and the Privacy Policy of INNPACTIA SAS

 

2. Update and modification of the Terms and Conditions

It is the responsibility of the advisor to review the Terms and Conditions periodically to be able to identify changes, however, INNPACTIA will inform its users and advisors each time there is an update of the Terms and Conditions that they should be informed about. INNPACTIA may include new services or functions of the INNPACTIA platform in the future, at its sole convenience and discretion. In such case, said services will be subject to the Terms and Conditions published at that specific time.

4. Eligibility to be an advisor on the INNPACTIA platform

 

INNPACTIA is a company whose corporate purpose is to generate multi-stakeholder connections, create solutions from science, technology and innovation, focused on reducing the transaction costs of entities or individuals who mobilize to create a better world and for the development of their societies.   In the development of its corporate purpose, INNPACTIA's mission is to democratize access to social impact funds for organizations and social entrepreneurs, promoting the transformation of the impact financing system so that this be more and more efficient and inclusive.

 

Within the framework of its purpose and mission, INNPACTIA makes available to the users of the INNPACTIA platform services provided by expert advisors on issues of international cooperation, preparation for fund management and project structuring, impact investment, social entrepreneurship, development and execution of programs, and any other topic or service that INNPACTIA finds relevant for its users. 

 

Natural persons over 18 years of age or legal persons, who have knowledge and experience in the listed areas or any other related to the corporate purpose and mission of INNPACTIA, can register and act as advisors on the INNPACTIA platform.

 

5. Registration as an advisor on the INNPACTIA  platform

INNPACTIA reserves the right to verify the information provided by the advisor in the registration form, as well as to cancel the account of those advisors whose credentials could not be verified by INNPACTIA, who have not provided their services in accordance with quality standards. of INNPACTIA, or have not been well qualified by users who have purchased their services, among other causes of account cancellation by INNPACTIA, at its sole discretion. 

 

INNPACTIA also reserves the right to delete content and/or cancel the account of any adviser who fails to comply with the community's Code of Conduct within the platform, as well as in the different communication channels of INNPACTIA. The Code of Conduct can be reviewed at the following link and is an integral part of these Terms and Conditions.

 

INNPACTIA makes a referral program available to advisors, which consists of granting incentives to those registered advisors who refer new advisors who meet the required profile, and who have the ability and willingness to provide their services through the platform. 6. Structuring of services

 

INNPACTIA has designed a portfolio of services that the advisor can provide to the users of the INNPACTIA platform, whether they are funders, entrepreneurs or social organizations.  The  advisor will be able to offer services such as thematic consulting, advice and training activities aimed at needs identified and/or requested by users, as well as services that result in the development of a specific product required by the user, such as a web page.

 

Each service offered will have the duration and specific structure defined by the advisor in his service offer, which must  be in line with the formats and parameters predefined by INNPACTIA that can be consulted at the following link, which makes an integral part of these Terms and Conditions. 

 

6.1 INNPACTIA Routes

The adviser may offer advice and training activities to entrepreneurial users or social organizations in the process of applying to calls for financing of social impact projects, including other areas of strengthening their organizations, strategies or business models, with the purpose of increasing their chances of success in accessing financing and implementing their initiatives. 

 

This service may also be purchased by financing users with the aim of strengthening the capacities of the beneficiaries of their own programs.

 

Role of the adviser

 

The advisor will be in charge of proposing the accompaniment and strengthening route that he wants to carry out, as well as its duration and structure, within the parameters established by INNPACTIA for this service.  The advisor will have autonomy to define the moment in which the service will be delivered. In the event that the services are aimed at fund application processes with deadlines, the advisor will be responsible for completing the provision of their services in accordance with the scope defined in their offer  before the date delivery or deadline for sending the call. 

 

In the formulation of the service proposal, the adviser must specify whether the sessions will be individual or group in each of its stages, as well as the topics that will be addressed in each of them, the number of sessions required and their duration, in addition of other variables that may be established by INNPACTIA on its platform.  The sessions will be held through the INNPACTIA platform and the videoconference means that it establishes and may be recorded for later consultation by the users, INNPACTIA or other financing users or donors of said activities.

 

Minimum deliverables of each route:

 

Formulated project, in the donor's form and with complementary files.

Complementary alternatives plan to the initial call.

Application to convocation  in cases in which the user expressly states their willingness to make use of this deliverable. Otherwise, the route service will end without the application to the call having been made with the accompaniment of the advisor. In this case, the user must express their decision through the instrument that INNPACTIA provides for these purposes within its platform.

 

Overview of the route:

 

The service must have a maximum duration of 6 weeks from the beginning of the Route.

 

The INNPACTIA platform could allow the user to present the proposal resulting from the acquired path, to other similar donors who might be interested in financing it. 

 

At the end of the route, the user will be able to rate the advisor. Said qualification may be used by INNPACTIA for promotional purposes of the service and communication. 

 

The advisor must propose activities aimed at executing the route based on the Route regulation that can be consulted at the following link and that is an integral part of these Terms and Conditions. The regulation may be modified without prior notice by INNPACTIA and will affect the routes proposed after  of that update, not those that have already been proposed or are in progress at the time of the update._cc781905 -5cde-3194-bb3b-136bad5cf58d_

 

The same route may be purchased by a maximum of five (5) organizations at the same time, without this implying that access to the sessions of each stage is restricted to a maximum of five (5) people. The sessions may be attended by as many people as the user organizations determine appropriate.

 

Due to the quality of the service and traceability in the support provided, the records of communications with other users within the support of the routes will be visible within the platform for all parties involved, during and after the provision of the service. route service, as well as the basic information on the profile of the adviser who has provided said service.  o. 6.2 Mentoring, consulting, masterclass 

 

Object of the services

 

The advisor may offer advisory sessions,  mentoring and master classes (Master Class) to users who wish to acquire the service on their own; to users who are selected by a funder within the INNPACTIA platform, or as part of the strengthening program included in the INNPACTIA Subscription Plans. 

 

The purpose of these sessions will be to strengthen the capabilities and skills of the users of the platform in different topics related to the corporate purpose of INNPACTIA,  guide them in their application process to calls, so that their proposals effectively meet the requirements of the call and the donor can deliver the resources offered, and provide services aimed at delivering products (for example, a website).

 

Role of the adviser 

 

The advisor is responsible for the diagnosis, planning, implementation and evaluation  of the contents stipulated by the funder within the framework of the project for which he was hired. The advisor will have autonomy to define the moment in which the service will be provided.

 

Minimum deliverables by the advisor: 

 

Programming of topics to be addressed, work schedule, bibliography and/or complementary tools and evaluation of acquired knowledge.

Session recordings.

 

Overview of mentoring, consulting, masterclass 

 

The advisor will make available to users and/or funders who hire them, all the aforementioned materials for their  consultation, review and use.

 

In the case of mentoring, the accompaniment program  will be defined by the advisor after a diagnosis of the needs and approval by the user who purchases the service.

 

At the end of each service, the user will be able to rate the advisor. Said qualification may be used by INNPACTIA for promotional purposes of the service and communication.

 

The advisor must propose activities aimed at executing the services based on the mentoring, consulting and masterclass regulations that can be consulted at the following link, which is an integral part of these Terms and Conditions. The regulation may be modified without prior notice by INNPACTIA and will affect the services proposed after that update, not those that have already been proposed or are in progress at the time of the update.

7. Cost of services rendered and payment

 

INNPACTIA will charge the advisor a service fee equivalent to 30% of the value of the services contracted by users, as a commission for the use of the INNPACTIA platform to offer, promote and generate transactions with users.

 

The payment of the fees caused by the provision of services by de  the advisors, will be made through the Payoneer platform (to learn more about this platform, see the link) for which the_cc781905 -5cde-3194-bb3b-136bad5cf58d_ advisor must provide INNPACTIA  all the updated data of his account. Under no circumstances will INNPACTIA make payments to accounts owned by third parties other than the advisor. In the case of preferring another channel to receive your payments, the  advisor must assume the corresponding administrative costs. 

 

It is the responsibility of the   advisor to keep his personal data required by the INNPACTIA platform updated, particularly those related to those required to make payments. INNPACTIA will not assume costs caused by the outdated information provided by the advisor.   

 

In the case of payments for the INNPACTIA Routes service, if the application to the call is not made effective at the end of the execution of the service by user decision, the payment to the  advisers will be made after confirmation of execution of the rest of the service by the user, through the  instrument that INNPACTIA has for these purposes.

 

Payments for consultancies, mentoring and masterclasses will be made after the user who acquired them confirms that they have received them. 

 

When INNPACTIA requires it, and with the purpose of publicizing and raising the profiles of the advisors, you can contract the services offered by them, according to the current rates and published in the following link, which are an integral part of these Terms and Conditions. .

 

8. Cancellation of the service by users and/or funders

 

You can withdraw from the services of INNPACTIA Routes, consultancies, mentoring and masterclasses up to three business days prior to your start date. In this case, a 15% penalty will apply.

 

In the case of the INNPACTIA Routes in particular, if you give up when the Route has already started, and up to the maximum period of the fifth day of service provision, the user  will be reimbursed 60% of the value cancelled; el  The remaining 40% will be retained as a penalty. 9. Obligations of the adviser:

 

In addition to those contained in the General Terms and Conditions of use and/or contracting of the

services of the page www.innpactia.com, the advisor contracts the following obligations when registering as such on the INNPACTIA platform:

 

Contact the buyer of the services within 48 business hours after being notified of the purchase.

 

Provide the services designed and proposed on the INNPACTIA platform, in the time and manner conditions indicated in your offer.

 

Prepare the necessary and appropriate material for the sessions offered, and allow its access to users during said sessions and after them.

 

Keep the collection information updated on the INNPACTIA platform or by the means that INNPACTIA defines, within the terms and with compliance with the formalities required in the advisor's country of residence

 

Inform INNPACTIA when it is unable to continue providing the services offered and contracted by users of the INNPACTIA platform. The adviser must prove his disability with the appropriate documentation. In each particular case, and depending on the progress of the service at the time of the disability, INNPACTIA and the advisor will evaluate the measures that must be adopted in relation to the payments caused by the hours of sessions carried out. In the absence of accreditation of the alleged disability, INNPACTIA will not pay the advisor the value of the hours for the sessions that have been carried out.

 

10. Role of INNPACTIA

 

INNPACTIA offers a meeting place between the advisor and the financing users, entrepreneurs and organizations of the INNPACTIA platform.

 

INNPACTIA will be in charge of  the collection, analysis and de  sharing relevant information that helps advisors guide their offers and increase their chances of consumption within the platform.

 

INNPACTIA is committed to strengthening the entire ecosystem of social impact, which is why it makes relevant information available to you, in different formats for the constant training of the advisors that make up your community.

 

INNPACTIA will periodically evaluate the satisfaction of users with the services provided by the advisors in order to improve the service and its products and provide a space of opportunities for strengthening and competitive employability of the highest quality.

 

INNPACTIA will allow the advisors to know the qualification granted and the feedback provided by the users in relation to the services provided. 

 

INNPACTIA will optimize its tools within the platform to facilitate the management of advisor offers and generate faster and more relevant connections within the ecosystem.

 

INNPACTIA will collect the payments made by users as consideration for the services provided by the advisors, and will pay each of them the value of their remuneration less any contractual and tax deductions that may apply.

 

INNPACTIA does not assume the role of supervisor or guider of the services offered by the advisors within the INNPACTIA platform. To design, offer and provide the services that are the subject of these Terms and Conditions, the advisors have absolute autonomy and therefore, the quality of the services provided is attributable to the advisors and in no way to INNPACTIA.

 

INNPACTIA does not guarantee the advisors the provision of the services offered within the INNPACTIA platform, which will be provided on demand and to the extent that the minimum number of subscribers required for each service is met. In the case of INNPACTIA Routes, there must be a minimum of one user and a maximum of five; in the case of mentoring, consulting and masterclasses, there must be a minimum of one user; When any of the aforementioned services are offered as part of the INNPACTIA platform strengthening program, the minimum number of users will be twenty. In this sense, the burden of presenting attractive service proposals for users falls on the advisors. Neither does INNPACTIA guarantee users results derived from the acquisition of the services provided by the advisors within the INNPACTIA platform, such as the choice of their proposals in the calls in which they are presented. 

 

10. Relationship between INNPACTIA and the advisor

 

In accordance with the nature and purpose of these Terms and Conditions, neither INNPACTIA nor the advisor have corporate spirit, for which reason the  celebration of this agreement does not entail the constitution of a different legal entity, nor in fact neither by law, nor does it imply the payment of contributions to create patrimony, fund or common capital of any kind, so that each one of them maintains its independence and autonomy.

 

Likewise, INNPACTIA and the advisor will not be considered as the contracting party and contractor for the purposes of the provisions of article 34 of the Substantive Labor Code, and therefore there will be no joint and several liability for the salaries, social benefits and compensation of the employees of one or of the other.

 

Additionally, neither INNPACTIA nor the advisor acquire the representation of the other, for judicial or extrajudicial effects, nor does it constitute a solidarity agreement or any guarantee regarding the claims that third parties may present to any of them.

 

 

Likewise, the advisor agrees to receive, at the email address  with which he registered as such on the INNPACTIA platform, periodic communications of interest sent from INNPACTIA. At any time, the advisor may modify their email subscription preferences or even cancel their subscription to stop receiving notifications. 

 

Consultant agrees to receive recurring automated personalized marketing and promotional text messages (for example, SMS and MMS) (for example, cart reminders) from INNPACTIA, including text messages that may be sent using an automated telephone dialing system, to the number mobile phone number you provided when you signed above or any other number you designate. Consent to receive automated marketing text messages is not a condition of any purchase. Message and data rates may apply.

 

The frequency of messages will vary. INNPACTIA reserves the right to modify the frequency of messages sent at any time, in order to increase or decrease the total number of messages sent. INNPACTIA also reserves the right to change the shortcode or telephone number from which messages are sent and we will notify you when we do so.

 

Not all mobile devices or phones may be compatible and our messages may not be deliverable in all areas. INNPACTIA, its service providers and mobile phone operators supported by the program are not responsible for delayed messages ​​or not delivered.

 

You also agree to INNPACTIA's Terms of Use and INNPACTIA's Privacy Policy.

11. Processing of Personal Data

 

By accepting these Terms and Conditions, the advisor authorizes INNPACTIA to make use of their personal data within the INNPACTIA platform and other marketing and advertising channels for their services, in order to make it known among users and to In this way, promote their services and/or those of the INNPACTIA platform.

 

Among the personal data of the advisors that INNPACTIA processes, the following stand out:

 

1. Name of the adviser

2. Photograph of the adviser

3. Contact details of the advisor such as telephone number, email address and  postal address.

4. Qualification of the services provided by the adviser.

5. Private or public two-way conversations with other users

6. Name and profile in service history

7. Services provided in the past

 

Said personal data will be subject to the treatment and purposes established in the INNPACTIA Personal Data Treatment Policy, available at the following link. 


 

12. Confidentiality

 

The advisors may only use the information that has been supplied/revealed by the users on the occasion of the acquisition and provision of their services through the INNPACTIA platform, for the provision of the specific services that the user has contracted._cc781905-5cde -3194-bb3b-136bad5cf58d_ Among this information stands out, but not limited to, that about the users, the organizations to which they belong, the projects carried out in the past or that will take place in the future, the relevant information for the calls in which who will participate, etc. 

 

In this order of ideas, it is expressly prohibited for advisors to make use of the information that has been delivered to them by users in the framework of the provision of their services through the INNPACTIA platform, with a purpose other than providing them in accordance with the guidelines established in these Terms and Conditions and other complementary documents. 

 

Users may pursue the reparation against the advisors through the legal actions available, in the event that they disclose or make unauthorized use of the information provided by the users, regardless of whether they do so for the benefit of the advisors. own or third parties.

 

The advisors must hold INNPACTIA harmless for any claim raised by users in relation to the unauthorized use of the information provided during the provision of their services through the INNPACTIA platform.

 

13. Dispute resolution 

 

INNPACTIA and the advisor will try to resolve any discrepancy that arises due to the interpretation and compliance with these Terms and Conditions through a direct settlement. within a term of fifteen (15) business days, counted from the date on which one of them communicates to the other the reason for the conflict or controversy and summons it for its settlement. In the event that no agreement has been reached after this period, the parties will decide, within a period not exceeding eight (8) business days, if they resort to alternative conflict resolution instruments, such as conciliation, amicable composition or transaction. . If so, they will apply the procedure and rules corresponding to the instrument in question, under the terms of the law on the matter, especially, Laws 23 of 1991, 446 of 1998 and 640 of 2001 and Decrees 2279 of 1989 and 1818 of 1998 of the Republic of Colombia. Once this term has expired without selecting the instrument to be applied, the parties are free to resort to the ordinary jurisdiction of the Republic of Colombia.

 

14. Jurisdiction

 

These Terms and Conditions are governed by, and must be interpreted and executed in accordance with the law of the Republic of Colombia.

 

15. Assignment of the contractual position

 

INNPACTIA may assign or transfer the rights and obligations as its contractual position derived from this document and/or from the INNPACTIA platform, at any time. The advisor accepts that, in such a case, INNPACTIA will not have any responsibility for any event that occurred from the date of said assignment.
